Terms of Service

These Terms of Service ("Terms") govern your use of www.optilo.co and the services provided by Optilo LLC ("Optilo", "we", "us"), a California limited liability company with its principal office at 1000 Fulton St, San Francisco, CA 94117. By engaging our services, you ("Client") accept these Terms in full.

1. Services

Optilo provides two services:

  • AI-powered Google Ads agency — we plan, build, launch, and optimize Google Ads campaigns on behalf of Clients, using Google's official Google Ads API and our own AI tooling for bid management, creative testing, and reporting.
  • Domain brokerage — we represent Clients in domain auctions on the Dynadot platform, including auction monitoring, bidding, payment, and transfer.

Optilo is not Google or Dynadot. We are an independent third party and are not affiliated with, endorsed by, or controlled by Google LLC or Dynadot, Inc. "Google Ads" is a trademark of Google LLC.

2. Account access and authorizations

For our Google Ads agency service, the Client authorizes Optilo to access and manage the Client's Google Ads account through Google's standard OAuth 2.0 flow under scopes the Client approves. The Client owns the Google Ads account at all times and may revoke Optilo's access at any time. Use of Google data is governed by our Privacy Policy, which adheres to the Google API Services User Data Policy.

3. Fees and payment

Fees are quoted per engagement and communicated in writing before any work begins. The Client is responsible for:

  • Optilo's agency or brokerage fees as agreed.
  • Media spend on Google Ads (paid directly by the Client to Google).
  • The final auction price of any domain acquired through the brokerage service.
  • Any taxes, bank fees, or third-party charges that apply.

Payments are due on the agreed schedule. Late payments may result in pausing campaigns, loss of an auctioned domain, or interest charges.

4. No guarantee of results

Advertising and auctions are competitive activities and outcomes depend on factors outside Optilo's control. We do not guarantee any specific advertising performance, return on ad spend, conversion rate, or success in winning a particular domain. Our commitment is to execute the strategy agreed with the Client diligently and within the agreed budget and timeline.

5. Client obligations

  • Provide accurate, up-to-date information.
  • Comply with Google Ads policies, applicable advertising regulations, and the laws of jurisdictions you advertise in.
  • Do not use our services for unlawful, fraudulent, deceptive, or rights-infringing purposes (including trademark or copyright infringement).
  • Maintain a valid Google Ads account (for agency clients) and a valid Dynadot account (for brokerage clients) so we can deliver the service.
  • Pay fees and costs on the agreed terms.

6. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

7. Limitation of liability

To the maximum extent permitted by law, Optilo's total liability to the Client for any cause will not exceed the fees actually paid by the Client to Optilo for the specific engagement that gave rise to the claim. Optilo is not liable for indirect, incidental, consequential, or special damages, including lost profits or lost business opportunities.

8. Intellectual property

All content on this website (text, logos, graphics) is owned by Optilo LLC or used under license. You may not reproduce it without authorization. Campaign strategies, creative, keyword sets, and analytics produced by Optilo for a Client are licensed to that Client for use within their account during the engagement.

9. Termination

Either party may terminate the engagement on written notice as set out in the relevant engagement letter. On termination, Optilo will return access to the Client's accounts and provide a final reconciliation. Sections that by their nature should survive termination (including limitation of liability, intellectual property, and governing law) will survive.

10. Changes

We may update these Terms from time to time. The current version will be published on this page with the date of the latest update. Continued use of our services constitutes acceptance of the updated Terms.

11. Governing law and venue

These Terms are governed by the laws of the State of California, USA. Any dispute will be submitted to the competent courts of San Francisco, California, except where mandatory consumer-protection laws of the Client's jurisdiction provide otherwise.
